These Terms of Service (“Terms”) govern your access to and use of the website
numerix.ai (“Website”) and the analytics, engineering, and consulting services
provided by NUMERIX.AI CONSULTING LLP (“we”, “our”, “us”).
By accessing our Website or engaging our services, you agree to these Terms.
1. Services Provided
Numerix.ai provides data analytics, engineering, consulting, and digital transformation services.
Scope of work, deliverables, timelines, and fees are defined in a separate proposal, statement of work (SOW), or written agreement.
2. Use of Client Cloud Environments
As part of our analytics and consulting engagements, we may access and process data inside
the client’s own cloud environment.
- We do not host or store client datasets on our own servers.
- We operate strictly within cloud infrastructures provided and controlled by the client.
- Supported clouds include, but are not limited to: Microsoft Azure, Amazon Web Services (AWS), Google Cloud Platform (GCP), Snowflake, and Databricks.
- Clients are responsible for provisioning access roles and permissions.
- We will securely terminate access upon completion of the engagement or at the client’s request.
3. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary or sensitive information shared during the engagement.
This includes business data, technical documentation, credentials, strategies, and intellectual property.
Confidentiality obligations survive termination of services unless otherwise agreed in writing.
4. Intellectual Property Rights
Unless otherwise stated in a contract or SOW:
- All pre-existing intellectual property belonging to either party remains their sole property.
- Work products, models, code, or assets created for the client during the project may be assigned to the client upon full payment.
- Internal frameworks, methods, or reusable components developed by Numerix.ai remain our intellectual property.
5. Client Responsibilities
The client agrees to:
- Provide timely access to necessary cloud environments, datasets, and tools.
- Ensure the accuracy and legality of all data provided.
- Maintain internal security, compliance, and access governance for their cloud systems.
- Back up their own data and systems unless explicitly outsourced.
6. Disclaimers
Our services are delivered on a professional best-effort basis.
We do not guarantee:
- Specific business outcomes or financial results
- That analytics outputs will always be free from error
- That cloud services (Azure, AWS, GCP, etc.) will remain fully available or error-free
We also do not assume liability for:
- Client infrastructure issues, misconfigurations, or outages
- Third-party service failures (cloud, CRM, analytics tools, etc.)
- Data loss within client-managed systems
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- Numerix.ai is not liable for indirect, incidental, or consequential damages.
- Total liability for any claim is limited to the amount paid by the client for the services in question.
- No liability applies for losses arising from client-controlled cloud environments or third-party tools.
8. Third-Party Tools & Integrations
We may integrate with or use third-party tools for analytics, CRM, and automation
(e.g., HubSpot, Google Analytics, cloud provider services).
Each third-party tool is governed by their own terms and policies.
We are not responsible for their availability or reliability.
9. Termination
Either party may terminate the engagement with written notice as defined in the SOW or contract.
Upon termination:
- We will revoke access to client systems
- We will delete any credentials provided by the client
- Outstanding payments must be settled according to the contract
10. Governing Law
These Terms are governed by the laws of India.
Any disputes shall be resolved under the jurisdiction of courts in New Delhi, India.
International clients may request alternative jurisdiction through contract negotiation.
11. Changes to Terms
We may update these Terms periodically.
Continued use of the Website or Services constitutes acceptance of updated Terms.
